C3 Evaluation Terms of Agreement

1. Grant of license

Subject to the terms and conditions of this Agreement, Armedia grants the User a temporary, non-transferable license to use the C3 (the Application) software for User's internal testing purposes only.

2. Trial Usage

A. The C3 software is to be used for evaluation purposes only. If actual production software is needed, User will notify Armedia via email, fax or telephone and is expected to request a price quotation in order to release a User Purchase Order for C3.

3. Proprietary Material

A. All copyrights, patents, trademarks, expertise and any other intellectual property relating to the Application belong exclusively to Armedia LLC. The User recognizes and agrees that all intellectual property relating to the Application is confidential, is protected by law, and is Armedia proprietary material.

B. You may not sublicense, lease, or transfer access to the Application to any third party without prior written permission from Armedia.

C. You shall not reverse engineer, reverse assemble, or reverse compile the Application.

4. Limitation of Liability.

A. User expressly acknowledges and agrees that the use of the Application is at their sole risk. The Application is provided "as is" and without warranty of any kind.

B. Under no circumstances shall Armedia LLC be liable for any direct, indirect, or consequential damages arising from this agreement or the User's use of the C3 software for evaluation.

5. User Support

A. Armedia will provide limited technical user support (by email or website) to the User for the duration of the evaluation with regards to installation and initial setup of the Application.

B. Armedia may elect to terminate support services at any time without prior notice to the User.

6. Duty of confidentiality
User shall maintain the confidentiality of all information obtained from Armedia, such as site URLs, logins, passwords, electronic mail address for user support, and any other support documentation. User shall not transfer this information to any third party without prior written permission of Armedia.

7. Term
This license is effective on the date that access to the C3 download site is first granted to the User. User agrees license usage expires after thirty (30) days at which time The User must cease use of the software and destroy any associated documentation. However, if User elects to purchase C3, a Purchase Order will be required. Please contact Armedia Sales for further information on pricing and volume discounts.

8. Termination
A.	User rights under this Agreement will terminate immediately upon notice from Armedia if you fail to comply with any term(s) of this Agreement.

B. User may terminate this Agreement, upon written notice to Armedia, and by destroying any software and documentation associated with the evaluation software.

C. Armedia reserves the right to terminate the availability of the evaluation support at any time without notice. All evaluation licenses granted under this agreement will also terminate at that point.
